What is a Private Placement Memorandum?

A Private Placement Memorandum, or ‘PPM,’ is the document that discloses the appropriate information an investor needs to know to make an informed investment decision. The SEC has set guidelines for PPM disclosures via Regulation D. Unlike using only a Business Plan to raise capital, the PPM details the investment layout and opportunity, and it disclaims legal liabilities of the business owners, while also explaining the risk of loss. Some PPM’s actually include a copy of the Business Plan, or at the very least, an Executive Summary.
